Software License Agreement & Terms of Service

Summary of commercial software license terms, annual subscription lifecycle, installation seat restrictions, and offline policy rules.

Legal Outline Notice: This document represents the planned commercial software licensing terms for IndiMarg Pharma ERP. It is subject to review and formal approval by company legal counsel before public commercial execution.

1. Software License Grant & Scope

IndiMarg Pharma ERP is licensed, not sold. Subject to payment of applicable annual license fees and compliance with these terms, IndiMarg grants the customer a non-exclusive, non-transferable desktop license to install and execute the software on authorized counter computer terminals.

2. Annual Subscription Term & Offline Policy

Subscriptions are granted on an annual basis (12-month term). The software incorporates automated license validation controls:

  • Initial Activation: Internet connectivity is required during initial software setup to validate the license key and establish device binding.
  • 60-Day Offline Operation: Following server validation, the software may operate completely offline for up to 60 consecutive days, but never beyond subscription expiry.
  • Clock Integrity: The software monitors system time integrity. In the event of system clock rollback, online server validation is required to resume protected operations.
  • Expiry Deadline: At the conclusion of the paid term or 60-day offline grace limit without renewal, protected transactions are locked until validation. Local historical business data is preserved and not deleted.

3. Installation Limits & Seat Binding

Each license key is configured with a specific maximum installation count (counter seats). Concurrent activations are governed by recoverable installation IDs. If hardware fails or a PC is replaced, seat release must be coordinated through your authorized agent or central support.

4. Disclaimer of Warranties

The software is provided to assist pharmacy operations. Pharmacists and pharmacy owners remain solely responsible for the accuracy of dispensed medications, drug dosages, doctor prescriptions, and statutory tax filings.
